This highly reviewed workshop is geared to both entrepreneurs and investors. It will take place in one 3-hour session. This is a serious half day workshop, not a simple 1 hour overview and is primarily designed for founders and investors in startup to early revenue technology companies, seeking Seed or Series A stage funding.

Presenter: Pieter Dorsman

Arguably the most important part of a financing with long term consequences, a term sheet lays the groundwork for ensuring parties involved in an investment transaction are in agreement on most major aspects of the deal. Because investment terms, company valuation, and the longer-term implications of investment terms are not “one size fits all”, it is important that both investors and entrepreneur understand the definition of terms and their application.

We will discuss:

  • Common, Preferred, Convertible and SAFEs
  • Describe the effect of a term sheet
  • Explain the purpose of individual terms and conditions on any term sheet 
  • Create new terms and conditions to address any specific risk
  • Justify to an entrepreneur the inclusion of specific terms and conditions in a deal 
  • Describe how a term sheet is developed into more formal deal documentation.

Pieter Dorsman, is a seasoned advisor, investor and mentor who is President & CEO of Redpeaks Management Inc., a consulting firm focused on advising technology companies on capital raising, M&A and restructuring activities. He has also taken on interim management roles at a number of Canadian tech companies.

Pieter is director and CFO at eFund, a Vancouver-based seed stage investment fund which has invested in 35+ tech companies to date. He is also chairman of Lambda Solutions Inc., a cloud-based learning company and director of Interpodia Technology and VitaminLabs. Previously, he co-founded and invested in Actenum Corporation and structured the start, financing and exit of ClearVision Technologies. Since 2018 he is an owner and director of Vancouver’s Angel Forum.

For Canada’s National Angel Capital Organization (NACO) Pieter has been conducting workshops on term sheets, valuation and angel funds across Canada and internationally since 2015. He also co-created NACO’s common document project, setting a national standard for common, preferred, convertible and SAFE term sheets. Since 2021 Pieter is also teaching the ‘Financing the Venture’ course for graduate students at Simon Fraser University (SFU) and a Venture Advisor at ventureLAB in Toronto.

Prior to relocating to Vancouver, Pieter held a number of senior positions in the project and corporate finance divisions of UBS in Hong Kong where he was responsible for financial advisory, arranging and restructuring mandates in Asia. Prior to joining UBS, he worked for Barclays Bank in Hong Kong and London.

Pieter holds a Master’s degree in Economic and Social History from the Erasmus Universiteit in The Netherlands where he also studied law.
